Overview: MLA is seeking an Interim Chief Corporate and Sustainability Counsel to serve as a key legal executive responsible for overseeing corporate governance, securities compliance, and environmental, social, and governance (sustainability) matters. This role requires strategic leadership and expert legal counsel to ensure the company maintains the highest standards of corporate integrity while meeting regulatory requirements and advancing sustainability initiatives.

Experience: 15+ years of progressive experience in corporate law, securities, and sustainability, including leadership of high‑performing legal teams
Location: Remote, some travel is required
Responsibilities Include:
- Lead the corporate legal function with oversight of corporate governance, securities law compliance, and sustainability strategy implementation
- Serve as primary legal counsel for governance and compliance matters; including governance of its 80+ global subsidiaries
- Direct the preparation and filing of all SEC reports, proxy statements, and other securities filings
- Develop and implement sustainability policies, programs, and disclosures that align with regulatory requirements and stakeholder expectations
- Manage corporate transactions including mergers, acquisitions, divestitures, and strategic partnerships
- Oversee shareholder communications, investor relations legal matters, and annual meeting and proxy preparation
- Ensure compliance with stock exchange listing requirements and other applicable regulations
- Lead a team of legal professionals specializing in corporate, securities, and sustainability matters
Qualifications Include:
- JD degree from an accredited law school with admission to practice law
- 15+ years of progressive legal experience, including significant experience in corporate law, securities regulation, and sustainability matters
- Extensive knowledge of SEC regulations, corporate governance best practices, and emerging sustainability frameworks
- Previous experience leading in-house legal teams at a public company required
- Background in sustainability reporting and sustainability program development
- International legal experience or familiarity with global sustainability standards
- Experience with corporate transformation or significant growth initiatives
